Service Terms
These terms govern the paid services LatentEdge provides: Site Care subscription plans and one-time project work. They work together with our Terms of Use and Refund & Cancellation Policy.
1. Acceptance
By subscribing to a Site Care plan through our Stripe payment link, or by paying an invoice that references these terms, you agree to them. If you have a separately signed agreement with us, that agreement controls where the two differ.
2. What a Site Care plan includes
A Site Care plan is a monthly service for keeping your existing website healthy and current. Depending on your tier (shown at the payment link), it covers: content and copy updates, image swaps, small layout and style fixes, dependency and platform updates, uptime monitoring, and minor bug fixes. Each tier includes a set number of update requests per month; the tier description at checkout states the number.
3. What a plan does not include
New feature development, redesigns, new pages beyond your tier's allowance, e-commerce builds, SEO campaigns, content writing, and third-party costs (domains, hosting, paid plugins, stock media) are not included. We quote this work separately as a one-time project. Unused requests do not roll over to the next month.
4. Requests and turnaround
Send requests by email to [email protected]. We acknowledge within 1 business day and complete typical requests within 2 business days. Larger requests may take longer; we tell you the timeline before we start. We work business days, US Eastern time.
5. Term, renewal, and cancellation
Plans bill monthly through Stripe and renew automatically. You can cancel at any time from the Stripe customer portal linked in your receipts, or by emailing us; cancellation takes effect at the end of the current billing period, and you keep the service until then. Refunds are handled per our Refund & Cancellation Policy. We may end a plan with 30 days' notice, refunding any unused period.
6. Payment
All payments run through Stripe. If a renewal payment fails, we notify you and retry; if payment is not resolved within 14 days, the plan pauses until it is. We never see or store your card details.
7. One-time project work
Feature builds and other projects are quoted in writing and billed by Stripe invoice. Larger projects take a 50% deposit before work begins, with the remainder due on delivery. The quote states scope, timeline, and price; changes to scope are re-quoted before we build them.
8. Your responsibilities
You provide timely access to the systems and accounts the work needs, the content you want published, and prompt answers to questions that block the work. You confirm you have the rights to any material you give us to publish, and that requests comply with applicable law.
9. Ownership of the work
Once paid for, the work product we deliver for your site belongs to you. We retain ownership of our pre-existing tools, libraries, templates, and know-how, and grant you a perpetual license to whatever of them is embedded in your deliverables. We may list you as a client and show non-confidential work in our portfolio unless you ask us not to.
10. Confidentiality
We keep non-public information you share with us confidential and use it only to deliver the services. This survives the end of the plan.
11. Warranties and limitation of liability
We perform the services with reasonable skill and care. Beyond that, the services are provided without other warranties, express or implied. To the fullest extent permitted by law, our total liability arising out of the services is limited to the fees you paid us in the three (3) months before the event giving rise to the claim, and we are not liable for indirect, incidental, or consequential damages, or lost profits or data. Nothing here limits liability that cannot lawfully be limited.
12. Changes to these terms
We may update these terms from time to time; the "Last updated" date shows the current version. Changes apply from your next renewal, not retroactively. Material changes are announced by email before they take effect.
13. Governing law
These terms are governed by the laws applicable to the place in which LatentEdge operates, without regard to conflict-of-law principles.
